Consultancy Agreement

The parties agree to work together in respect of Twiga Fresh Produce.

Scope: Supply and distribution of fresh produce to hotels within Nairobi County.

This agreement takes effect on 1 October 2026 and runs for Ongoing until terminated.

Anne Muthoni contributes: KSh 300,000 capital and the delivery van.

Victor Onyango contributes: KSh 300,000 capital and full-time management.

Profits, losses and fees are shared as follows: Profits and losses shared 50:50.

Payments shall be made within fourteen (14) days of an invoice being issued.

Each party shall carry out its agreed role honestly, diligently and in the best interests of the venture.

Proper books of account shall be kept and shall be open to inspection by either party.

Each party shall keep the other's business information confidential during this agreement and after it ends.

Either party may end this agreement by giving thirty (30) days' written notice. Amounts already earned remain payable.

Any dispute shall first be resolved by negotiation, and failing that by mediation in Kenya.

This document contains the entire agreement between the parties on this matter and replaces any earlier spoken or written understanding.
